1. Acceptance of these Terms

These Terms & Conditions (the "Terms") are a binding agreement between you and Draffte Inc., a Delaware corporation ("Draffte", "we", "us"), governing your use of the Draffte platform, the Draffte Passport, the coach and scouting tools, the Draffte AI camera and related services (together, the "Platform").

By creating an account or using the Platform you accept these general Terms and the profile-specific terms that apply to your account type (set out in §3). Both are binding together as a single agreement. If you do not agree, do not use the Platform.

2. Eligibility and accounts

You must provide accurate information and keep it up to date, keep your credentials secure, and are responsible for activity under your account. A minor may only use the Platform through, and with the verifiable consent of, a parent or legal guardian, who accepts these Terms on the minor's behalf. We may suspend or close accounts that breach these Terms or that we are required to restrict by law.

3. Profile types and profile-specific terms

The Platform offers different profiles, each with additional terms that form part of this agreement:

Player & Parent/Fan

Players (or their guardians) own their Draffte Passport and control profile visibility and consents. Performance data is generated from matches recorded on the Platform.

Coach / Scout

• If your account is linked by an administering Club, you access the Platform under the Club's plan; access ends if the Club's agreement with Draffte ends or the Club revokes the link. Independent scouts access under the published plan in force at registration.
• All access to player profiles is automatically logged with date, time and your identity. This log is evidence of the technological origin of a player discovery for PTAF purposes (§5).
• Player data is for your sporting functions only. You must not: (i) share data with competing technology platforms; (ii) take mass screenshots for commercial purposes; or (iii) use Platform data for your own unauthorised sports-intermediation activity.
• If a Club delegates operation of the AI camera to you, §4 applies.

Sports Agent

• Verification & accreditation. To access the full player directory and advanced scouting, you must complete Draffte's verification: a valid identity document; accreditation by (i) a current FIFA Football Agent Regulations (FAR) 2023 licence, (ii) a certificate from your national federation, or (iii) a sworn declaration of FAR compliance with a licence application pending (verified by Draffte within 30 days); and a declaration that you are not suspended or banned. You must keep your licence valid and notify us within 5 business days if it is suspended, revoked or not renewed.
• Directory access. Search by position, rating, age, club and other variables per your plan; request contact with administering Clubs only through Platform channels. Contact with players and with legal representatives of minors takes place exclusively through the Platform.
• Conflicts & restrictions. You must not feed Platform data into your own or competitors' databases, export or redistribute profiles for your own commercial purposes, or represent players and clubs with an undisclosed conflict of interest in the same negotiation using Platform data.
• FIFA FAR 2023. The FAR 2023 govern your intermediation activity; the Platform is an information-technology tool and does not assume the obligations of a FIFA agent.

Club Administrator

Clubs administer linked staff and players, bear responsibility to Draffte for delegated AI cameras, and are the entity to which the PTAF applies.

4. The Draffte AI Camera

The AI camera and related equipment are and remain the property of Draffte. Where a Club delegates operational responsibility for a camera, the operator agrees to: (i) operate it exclusively for the registered Club's matches; (ii) not lend or transfer the equipment to third parties; (iii) immediately notify the administering Club of any damage, loss or malfunction; and (iv) allow Draffte technicians access for maintenance with 48 hours' notice. Responsibility to Draffte rests with the Club as an entity.

5. Platform Technology Attribution Fee (PTAF)

Nature. The PTAF is a technology fee paid by a Club to Draffte — it is not an agent's commission, and Draffte does not act as a sports intermediary.

Triggering event & base price. A PTAF becomes due when a player whose profile was consulted on the Platform is the subject of a triggering event (professional signing, transfer, loan or swap). The "Base Transfer Price" means: in transfers, the cash sum payable unconditionally on signing (conditional add-ons generate additional PTAF as each condition is met); in a first professional contract, gross first-year base salary plus fixed bonuses; in loans, the total loan fee; in swaps, certified market value.

Reporting. A user who participates in or becomes aware of a triggering event involving a player they consulted on the Platform must report it to Draffte within 5 business days, through the Platform's notification module (or by email to support if the account is closed). For agents, this reporting obligation survives for 5 years after account cancellation. The Platform automatically consolidates all reports of the same event (single window); only one PTAF is payable.

Anti-evasion. You must not advise or coordinate remuneration structures designed to artificially conceal a triggering event from the PTAF, or coordinate omission of the report. Your responsibility applies only to your own acts; you are not responsible for the autonomous contractual decisions of a Club or player unless you actively advised or coordinated them to evade the PTAF.

6. Acceptable use and data restrictions

You agree not to: scrape, bulk-export or mass-screenshot Platform data for commercial purposes; feed Platform data to competing platforms; reverse-engineer the Platform or its models; misuse player data outside your sporting functions; or use the Platform for any unlawful purpose. Access to players and to legal representatives of minors is only through Platform channels.

7. Subscriptions, fees and payment

Plans and prices are published on the Platform at registration. Subscriptions are billed monthly in advance; non-payment beyond 15 days suspends access. We may change prices on 30 days' notice, and continued use means acceptance. Subscriptions are personal and non-transferable. Card payments are handled by certified third-party gateways. Except where required by mandatory consumer law, fees already paid are non-refundable, and cancellation takes effect at the next billing period.

8. Intellectual property

The Platform, its software, models, ratings, the Draffte Ranking, trademarks and all related intellectual property are owned by Draffte or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose. You retain rights in content you own; you grant Draffte the licences needed to operate the Platform, as described in our Privacy Policy and the consents you give.

9. Confidentiality

Scouting information and player valuations accessed through the Platform are confidential. You must not disclose them to third parties without the authorisation of the relevant Club or of Draffte. This obligation continues for 12 months after your access ends.

10. Disclaimers and limitation of liability

The Platform is a technology and information tool provided "as is" and "as available". Draffte is not a sports agent, intermediary or financial adviser, and does not guarantee any sporting, commercial or transfer outcome. To the maximum extent permitted by law, Draffte is not liable for indirect, incidental or consequential damages, and our aggregate liability is limited to the fees you paid in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law, or your non-waivable statutory rights as a consumer in your country of residence.

11. Term, termination and post-cancellation access

Access ends when a Club revokes a link, the Club's agreement with Draffte ends, or you cancel an independent subscription. For 30 days after termination you keep read-only access to your personal history of profile consultations during your active period, with the right to export it as CSV or PDF; after 30 days, access ends definitively. Access logs are retained for PTAF traceability (up to 7 years), and reporting obligations for triggering events survive as set out in §5.

12. Governing law and disputes

These Terms are governed by the laws of the Republic of Colombia, and disputes are resolved through the mechanism designated by Draffte (arbitration before the Bogotá Chamber of Commerce), without prejudice to the following:

• Football transfer disputes. For disputes involving triggering events governed by the FIFA Regulations on the Status and Transfer of Players (RSTP), the FIFA Dispute Resolution Chamber (DRC) and the Court of Arbitration for Sport (CAS) may have concurrent or preferential jurisdiction, and the parties will use best efforts to resolve such disputes in the competent forum.
• Consumers. If you use the Platform as a consumer, you keep the protection of the mandatory laws of your country of residence and may bring proceedings in your local courts where local law so provides. Nothing here deprives EEA, UK or US consumers of non-waivable statutory rights.

13. Changes to these Terms

We may update these Terms; we will give reasonable notice of material changes (at least 30 days where required), and continued use after the effective date means acceptance. If you do not accept a change, you may stop using the Platform and cancel.
