Terms of Service

Agreement to Terms

By accessing or using Draffte ("the App" or "the Service"), operated by Draffte Inc. ("Draffte," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

Eligibility

Age Requirement

You must be at least 13 years of age to use Draffte. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service and that they have agreed to these Terms on your behalf.

Account Requirements

• You must provide accurate, current, and complete information during registration
• You must maintain and update your account information to keep it accurate
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account

User Types

Draffte supports three types of user accounts:

• Athletes: Users who post athletic content and may subscribe to Gold plans
• Agents/Coaches: Users who may subscribe to Agent plans for enhanced features
• Fans: Users who engage with content without subscription requirements

User Accounts

Account Creation

To use certain features of Draffte, you must create an account. You agree to:

• Provide accurate information including name, email, date of birth, and other required details
• Maintain one account per person
• Not create accounts for others without their permission
• Not use false information or impersonate others

Account Security

You are responsible for:

• Maintaining the security of your account password
• All activities that occur under your account
• Notifying us immediately of any security breach or unauthorized access

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Prolonged inactivity
• Any other reason we deem necessary to protect the Service or other users

Acceptable Use

Permitted Uses

You may use Draffte to:

• Create and share athletic content (videos, photos, and related information)
• Connect with other athletes, agents, coaches, and fans
• Discover and engage with athletic content
• Participate in our referral program
• Subscribe to premium features (if applicable)

Prohibited Conduct

You agree NOT to:

Content Violations:

• Post spam, repetitive, or unsolicited promotional content
• Harass, bully, threaten, or intimidate other users
• Share misinformation or fake news
• Display or promote violence or harm towards individuals or animals
• Post hate speech targeting groups based on race, religion, gender, sexual orientation, or other protected characteristics
• Share nudity or explicit sexual content
• Violate intellectual property rights (copyright, trademark, etc.)
• Promote illegal activities, substances, or dangerous organizations
• Share personal information of others without consent (privacy violations)

Technical Violations:

• Attempt to gain unauthorized access to the Service or other users' accounts
• Use automated systems (bots, scrapers) to access the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble any part of the Service
• Introduce viruses, malware, or other harmful code

Commercial Violations:

• Use the Service for unauthorized commercial purposes
• Sell, trade, or transfer your account without permission
• Use the Service to compete with Draffte

Content Moderation

We reserve the right to:

• Review, edit, or remove any content that violates these Terms
• Suspend or terminate accounts that violate these Terms
• Report illegal activity to law enforcement
• Take any action we deem necessary to protect the Service and users

User Content

Ownership

You retain ownership of content you post on Draffte ("User Content"). However, by posting User Content, you grant Draffte a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to:

• Use, reproduce, modify, adapt, publish, and distribute your User Content
• Display your User Content on the Service
• Use your User Content for promotional purposes (with attribution)
• Share your User Content with partner soccer clubs for trial opportunities (as described in our Privacy Policy)

Content Standards

Your User Content must:

• Be original to you or you must have all necessary rights and permissions
• Comply with all applicable laws and regulations
• Not infringe on the rights of others
• Not contain prohibited content as described in the "Prohibited Conduct" section

Content Removal

You may delete your User Content at any time. However:

• Deleted content may remain in backups for a reasonable period
• Content shared with third parties (such as partner clubs) may not be retrievable
• We may retain content as required by law or for legitimate business purposes

Content Liability

You are solely responsible for your User Content. Draffte does not endorse or assume liability for any User Content. We are not obligated to monitor User Content but reserve the right to do so.

Subscriptions and Payments

Subscription Plans

Draffte offers subscription plans:

• Gold Plan: Available for Athletes, providing enhanced features and visibility
• Agent Plan: Available for Agents/Coaches, providing enhanced features and tools

Subscription pricing, features, and terms are subject to change. Current pricing is displayed in the App.

Payment Processing

• Payments are processed through Apple App Store (iOS) or Google Play Store (Android)
• Subscription management is handled by RevenueCat
• All payments are processed securely through these third-party services
• Draffte does not store your full payment card information

Subscription Terms

• Subscriptions are billed on a recurring basis (monthly or annually, as selected)
• Subscriptions automatically renew unless cancelled
• You may cancel your subscription at any time through your device's app store settings
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial subscription periods

Post Boosting

• You may purchase post boosting services to increase visibility of your content
• Boost purchases are one-time, non-refundable transactions
• Boost duration and pricing are displayed at the time of purchase
• Boosted posts are subject to the same content standards as regular posts

Refunds

• Subscription refunds are subject to the policies of Apple App Store or Google Play Store
• Refund requests must be made through the respective app store
• We do not provide direct refunds for in-app purchases
• Boost purchases are non-refundable

Referral Program

Program Terms

Draffte offers a referral program that allows users to refer others to the Service. By participating:

• You may receive referral codes or affiliate IDs
• Referrals must be genuine and not obtained through fraudulent means
• You may not create multiple accounts to generate referrals
• We reserve the right to modify or terminate the referral program at any time
• Referral benefits are subject to verification and may be revoked for abuse

Referral Restrictions

• Referrals must be to real individuals who create legitimate accounts
• Self-referrals are prohibited
• Referral fraud (including but not limited to fake accounts, bots, or manipulation) will result in account termination and forfeiture of referral benefits

Partner Club Trials

Trial Opportunities

Draffte may facilitate connections between users and professional soccer clubs for trial opportunities. By using the Service:

• You understand that trial selection is at the sole discretion of partner clubs
• Draffte does not guarantee trial opportunities
• Your information may be shared with partner clubs as described in our Privacy Policy
• Partner clubs are independent third parties, and Draffte is not responsible for their actions or decisions

No Guarantees

Draffte makes no representations or warranties regarding:

• The likelihood of being selected for trials
• The quality or terms of any trial opportunities
• The actions or decisions of partner clubs

Intellectual Property

Draffte's Intellectual Property

The Service, including its design, features, functionality, and content (excluding User Content), is owned by Draffte Inc. and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of the Service
• Use Draffte's trademarks, logos, or branding without permission
• Remove or alter any copyright, trademark, or proprietary notices

User Content Intellectual Property

You represent and warrant that:

• You own or have the necessary rights to all User Content you post
• Your User Content does not infringe on the intellectual property rights of others
• You will indemnify Draffte against any claims arising from your User Content

Privacy

Your use of Draffte is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Service, you consent to our Privacy Policy.

Disclaimers

Service Availability

• Draffte is provided "as is" and "as available"
• We do not guarantee that the Service will be uninterrupted, secure, or error-free
• We may modify, suspend, or discontinue any part of the Service at any time
• We are not responsible for any loss or damage resulting from Service unavailability

Content and Information

• We do not endorse or verify User Content
• We are not responsible for the accuracy, completeness, or usefulness of User Content
• User Content does not necessarily reflect the views of Draffte
• We are not responsible for interactions between users

Third-Party Services

• The Service integrates with third-party services (Firebase, RevenueCat, Apple, Google, etc.)
• We are not responsible for the actions, policies, or terms of third-party services
• Your use of third-party services is subject to their respective terms and privacy policies

Limitation of Liability

To the maximum extent permitted by law:

• Draffte Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim
• We are not liable for any loss or damage resulting from:
  • Your use or inability to use the Service
  • Unauthorized access to or alteration of your data
  • User Content or conduct of other users
  • Third-party services or websites

Indemnification

You agree to indemnify, defend, and hold harmless Draffte Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

Dispute Resolution

Governing Law

These Terms are governed by the laws of Delaware, without regard to conflict of law principles.

Dispute Resolution Process

1. Informal Resolution: You agree to first contact us at contact@draffte.com to attempt to resolve any dispute informally
2. Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules, administered by the AAA
3. Class Action Waiver: You agree not to participate in class action lawsuits against Draffte

Exceptions

The following disputes are not subject to arbitration:

• Claims for injunctive or equitable relief
• Claims related to intellectual property rights
• Claims that may be brought in small claims court

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms in the App
• Sending an email notification (if you have provided an email address)
• Displaying an in-app notification

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

Termination

Termination by You

You may terminate your account at any time by:

• Contacting us at contact@draffte.com
• Using account deletion features in the App (if available)

Termination by Us

We may terminate or suspend your account immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Prolonged inactivity
• Any other reason we deem necessary

Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and User Content (subject to our Privacy Policy and legal obligations)
• You remain liable for all obligations incurred prior to termination
• Provisions that by their nature should survive termination will survive

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Draffte regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We are not liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, or internet failures.
